Preamble

1.1 ABOUT US:
Moio Online Booking System is created to help your business to reach the next level in the digital area. In this era of technology advancement, it is expedient as business owners, especially in the hospitality, beauty, health and wellness industry to embrace technology to provide easy, convenient and top-notch service to potential clients. That is where we come. It is our aim to provide you with our online booking services specially designed to cater for your clientele. Moio is located in Accra East Legon under these Terms and Conditions we will call ourselves Moio : us, we, or ours. Our Identification Number. is :

1.2 DEFINITION OF A PARTNER UNDER THE AGREEMENT
A partner under this service agreement is a sole proprietorship business or a company limited by liability that operates within Ghana. In addition to this, you have to provide the proof that your business (Salon, Wellness Hotel, Barber, Fitness Center / Gym, Pharmacy , Clinic ) is officially registered under the Company’s Act of Ghana before you can sign a contract with us. We would therefore require that you furnish us with the registration number and registration documents. Kindly note that this is a legal requirement which we cannot compromise on.

1.3 Definition of a customer under the Moio Website:
A customer is defined as a person that use Moio to book any of your services you provide on our Website / App . In this contract we refer to them as “They”.

1.4 Entire Agreement Clause
The following Terms and Conditions applies to all Partners and embodies the entire agreement between the parties as to the subject matter of this service agreement.

1.5 Modifications and Amendments.
Any amendments and or modifications made to this agreement has to be in writing and must be signed by both Parties to this Agreement.

1.6 Termination
Both Parties have the right to terminate the contract if one of the Parties breaches any term or condition in this Agreement. In addition, a party who wishes to terminate shall give a 1 month notice in advance of such intention on justifiable grounds.

1.7 Governing Law
This Agreement shall in all respects be governed and construed in accordance with the laws of the Republic of Ghana.

1.8 Dispute Resolution
In the event of any dispute arising out of the performance of this Agreement, the parties undertake that they will proceed to negotiate in good faith in an attempt to find an amicable settlement. Otherwise any dispute shall be finally settled under the Alternative Dispute Act of Ghana, 2010.

2. Terms for Executing the Contract and Service
2.1 All contracts relating to Moio must be signed by “the owners” of the business partnering with us. To sign the contract the owner shall provide and ID ( Ghana card or Passport & the official registration)

Service
We offer you our software for free. There is no registration fee the only time it comes to a fee is when customers are booking online one of your services. Customers using Moio are paying online directly to us. To provide this service Moio is working with Paystock an online payment system

Example
If a customer books a service that is ₵500 worth Paystock fee applies on top and we are taking 10 % from the ₵500 from your company. Ownership Relationships
Our goal is to grow our customer service to keep up with newest future trends in the IT world. This means we have the right to change any Software in the near future regarding our App and Webpage to provide you and your customers with updated experience and services. The Software belongs to Moio Limited, you as a partner have a right to exit to it but it is not part of your business properties. You are allowed to use it as long as this agreement subsists. Third Party Technology Providers With signing this contact you accept their terms and conditions.

Third Party in this App are:
– Paystock as a pay system – Google Maps to find your location – Apple Maps – Widget Bookings on Instagram and Facebook

Online Booking
A. Bookings: Customers are able to book treatments and order beauty and health products 24/ 7 on our Webpage or App. You will receive a notification at your business dashboard keep in mind to check this at least once an hour during your working hours. Payments will be processed by Moio Limited ( with the paystock system) and will be paid as agreed in your contract where we received your bank / Momo details Please have in mind that we request a 10% fee for every treatment booking and 15% fee for any Online shop sale that will be done on your booking platform. This will be from your total revenue plus a bank transfer fee for any transaction to your bank account. Fees are not refundable.

Moio Limited will receive the total payment in the first place and will deduct the fee before transferring your profit via bank transfer to you. You are responsible for your tax on your incoming profit from Moio Limited

Buying online Gift cards
You have the option to offer your customers / clients, gift cards for your business / facility. All gift cards are valid for 6 months after purchasing them. Please have in mind and also inform your customers that all gift cards can only be used online with a special code. Kindly note that these gift cards will not be made in a hard copy to be presented at your facility. Once the customer has the special code, that enables the customer to receive the service. We can only transfer your money to you if the gift card is processed in the Moio system. A 10% commission is also charged on each gift card sold.

You can connect your Salon ; Clinic or Gym to our Online Shop to sell products that are FDA approved.
It is free for all partners to connect or open an online shop with Moio limited. There are no monthly cost involved. A commission fee is taken by Moio only when the partner successfully sells on the platform.
It is strictly forbidden to sell unauthorized products or services and any illegal products or services.
We offer your clients / customers the option of a pick up at your facility or a delivery service. To avoid any miscommunication and delivery delays Moio Limited will work with one delivery company to pick up the orders from your facility.
You will receive all orders at your dashboard and we will contact you also via telephone that you received an order. For this purpose, we will need you to provide at least 2 or 3 telephone numbers on which we can reach your facility during your working hours. All orders have to be packed and be ready at the same day of order.

Minimum order time for customers to receive their product on the same day is 6 am till 6pm. The delivery fee is an extra fee that has to be paid by the customer.
Your obligations is to ensure that the orders are packaged well in such that the product does not break or deteriorate during delivery.
We advise you to take photos for every order and keep that picture for 24 hours so you can prove you packed it professionally.
All prices online must be included with the tax that applies in Ghana to the product.

Online presentation
All products must have a short product description

5. If the risk of side effects are given you need to name them.

The photos you use for the online shop to present your products must be of a high quality and you have to have the copy right of each photo you upload We expect the photos to be on a white background and clear product pictures.
We have the right to remove uploaded pictures and products that does not follow the guidelines.
Because of hygiene, health reasons and standards, products cannot be returned from customers to Moio Limited or their partners.

Online Shop Pay system
Moio Online Shop is working with Pay Stock to gather all transactions fees during the ordering process are paid by customers.
We offer you the Moio Online Shop as a professional platform to sell your registered products in line with the laws of Ghana and the Food and Drugs Authority rules.
For this service and the administrative work Moio Limited is charging their Online Shop partners a commission fee of 15%.
The proceeds are first transferred to Moio Limited after which the 15% commission is deducted and then the money is transferred to the partner’s bank account.

Example a client purchases a product of 100 GHC 100 GHC minus 15% = 85 GHC for your partner =15 GHC for Moio Limited

DISCLAIMER
All partners are solely responsible to pay taxes from the income they make from trading and providing services on the Moio platform.

We are not responsible for any tax issues you face from selling on the Moio platform. Moio Terms and Condition Transaction process Dear Moio Partner all transactions on the Moio platform are digital. We are not handling any cash payments .

For this purpose Moio Limited is working with the online partner Paystack . All appointments or sells that has been done by customer / clients on the Moio platform will be paid either through Mobile Money or Credit Card.
If an transaction went through the Paystack security system all payments are transferred first to an Moio Limited account.
We will reduce our commission fee from the received payment and will transfer your part to your bank account or if available to your Paystack account.
Any bank or Paystack transaction fees are credit to your bill. The commission fee for all online bookings are 10 % for all Online sells are 15%. We will collect your bank account details or Paystack details on an extra sheet with all your other business details.
The bank transfers can take place every 2 weeks if you wish or on the end of each month. You are responsible to pay all taxes that are required by the Ghanaian law or any other country you are operating from .
Moio Limited is not responsible for any tax payments from your income you received from our online platform.
We may change bank fees regarding to changing banking fees. The 10 % for the online booking and the 15 % for the online shop are remaining for the first year of signing this contract. After 12 months we are free to charge higher fees if needed regarding to the inflation in Ghana.

Obligations
We want to provide a seamless and safe service for all customers / clients . To insure that we expect the highest level of professionalism.

The following points are our guidelines to ensure the best service for all App users

• You ensure that you just offer health / medical and beauty services that are legal in Ghana
• You ensure that all treatments are done by well educated professionals with a license
• You ensure to start and end in time with treatments that are booked online
• You ensure a friendly , welcoming , respectful treatment towards every guest
• You ensure to put only your products and services on the platform that are related to health and beauty and doesn’t t harm the public safety
• Only FDA approved products are allowed to sell
• You ensure not to use or give away any data to 3 rd parties
• You are responsible to keep track of all online bookings for treatments and all online sells
• All online sells has to be packed the same day in a way to avoid any damage to the product. Same day pick up police comes in place if an product are paid between 1am till 6pm.
• You ensure to cancel 24 hours ahead if you can’t provide an service that has been booked online by App users. ( In case you don’t cancel in between the 24 hours the client is in title to receive a 100% refund all transaction fees during this process will be billed to your company bill )
• In case an customer / guest doesn’t arrives in time you are in title to end the appointment in the booked time. For goodwill reasons you can offer the client to expand the time if it doesn’t affect your other online appointments.
• If an client doesn’t chancel an appointment 24 hours ahead with an no show up at your facility you will receive a 50% compensation fee the transaction fee will be added to your bill
• You ensure that you have all copy rights of each photo of the services or products you upload to the platform.
• You are responsible for any failed or mistaken treatments which are carried out on customers. Moio Limited acts like an agent and doesn´t cover any medical cost or any coast in case off an unprofessional behavior from any of our partners.
• Moio Limited is not liable for any physically or mentally damage caused by any partner
• We may change bank fees regarding to changing banking fees. The 10 % for the online booking and the 15 % for the online shop are remaining for the first year of signing the contract. After that we are free to charge higher fees if needed regarding to the inflation in Ghana.
• We are responsible to keep the App running 24/7 and to solve any technical problems.
